CONSTITUTION

(NOTE: THESE RULES INCORPORATE THE PROVISIONS OF THE CONSTITUTION AGREED AND APPROVED ON 16TH DAY OF JUNE 1990)

OBJECTIVES

1. The Association shall be called the "HMS EURYALUS ASSOCIATION"
   (hereinafter referred to as "the Association") and shall be non-political, non-sectarian and non-racist.

2. To preserve the pride in all ships bearing the name HMS Euryalus.

3. To maintain links between past, present and future ships bearing the name HMS Euryalus.

4. To foster the Friendship and Comradeship formed when serving as a member
of the ship's company of HMS Euryalus and to organise reunions.

MEMBERSHIP

5. The Association is open to all personnel who have, or may, serve on HMS Euryalus at any time.

ASSOCIATE MEMBERSHIP

(Friends of the Ship)

6. Associate Membership may be granted to:

      a. Wives/Partners or Widows of members.

      b. Those persons who are in sympathy with the objectives of the Association and assist in the continuance of those objectives.

Friends of the Ship:

       Shall have no voting rights & Shall not be eligible to hold office within the Association.

SUBSCRIPTIONS

7. The Association shall be self sufficient, notwithstanding:

      a. Life membership fee shall be £5.00 or any such sum from time to time determined by Council.

      b. Annual subscriptions may be determined by Council to maintain the association in good standing and shall be subsequently ratified by Annual General Meeting.

Such subscriptions shall not be deemed to include Wives/Partners or widows of Members.

REUNION

8. The Annual Reunion shall be held on a suitable day each year as determined for the convenience of members of the Association.

9. The venue for the reunion should ideally have some connection with the Royal Navy to add a nautical flavour to the occasion.

10. Attendance at the reunion may be open to the ladies, family and friends of members of the Association.

11. The Annual General Meeting may be held on the occasion of the reunion notice of which will be circulated to the membership at least 28 days prior thereto.

COUNCIL AND OFFICERS

12. The Association shall have an Honorary President and an Honorary Vice-President, who will be invited to hold office by the Council.

13. The Council shall comprise of FIVE members serving as:
          a. Chairman
          b. Vice-Chairman
          c. Secretary
          d. Treasurer
          e. Publicist

14. Council Members shall be elected at the Annual General meeting for one year and will be eligible for re-election.

Other members wishing to stand for election to the Council shall inform the Secretary, in writing, at least 28 clear days before the next Annual General Meeting and must be supported, in writing, by THREE other members.

The council is empowered to fill any vacancy which may arise during its year of office, such appointments shall be put to the subsequent Annual General Meeting for homologation.

ANNUAL GENERAL MEETINGS

15. Annual General Meetings shall be held at such a place and time as determined by Council.

16. The order of business shall be arranged by Council.

MANAGEMENT OF ASSOCIATION AFFAIRS

17. The management of the Association's business shall be vested in Council, who may thereby exercise:

Such powers as conferred by these Rules

Any additional powers necessary to transact Association affairs but excluding those acts required by these Rules to be exercised by the Association in General Meetings.

18. The Secretary and the Treasurer shall be responsible for all aspects of administration within the Association. They shall collate and disseminate, where possible, any information relating to the activities of HMS Euryalus past or present.

PROCEEDINGS OF COUNCIL

19. The Council may meet together for the despatch of business and adjourn and otherwise regulate their meetings as they think fit.

20. Unless otherwise agreed by all Council members, a quorum of three mandatory at any Council meeting.

AUDIT

21. The accounts of the Association shall be examined annually by the Honorary Auditor, or suitably qualified person, and the correctness of such accounts certified by him/her.

22. Accounts shall be available for inspection at Annual General Meetings.

ALTERATION OF RULES

23. Proposals for amendment of, or addition to the Rules may be submitted by:

a. Council

b. Any member to Council.

In either case, the submission must be made not less than 28 days before the next Annual General Meeting.

24. All such proposals must be approved both by Council and by a two-thirds majority of the Members at Annual General Meeting prior to acceptance.

DISSOLUTION

25. The Association shall not be dissolved nor its funds apportioned except with the consent of not less than a two-thirds majority of the Members present at an Extraordinary General Meeting convened for the purpose.

If the Members shall so resolve the affairs of the Association be wound up and the assets thereof not already consisting of money shall be realised and any surplus monies after discharging all liabilities of the Association shall thereafter be donated to a recognised Naval charity as determined by the Meeting.
